Terms & Conditions
These terms govern your use of onemedy.com and the sale, rental and servicing of equipment by OneMedy. Please read them — they set out how quotes and orders work, what our warranties do and don't cover, and how disputes are handled.
OneMedy supplies medical equipment to healthcare facilities and professionals. These Terms & Conditions are the agreement between you and us. Where you sign a separate purchase agreement, rental contract or service contract with us, that document controls if it conflicts with anything here.
01 Agreement to these terms
By using onemedy.com, requesting a quote, or buying, renting or having us service equipment, you agree to these terms. If you're doing so on behalf of an organization, you confirm you're authorized to bind it, and "you" means both you and that organization. If you don't agree, please don't use the site or place an order.
02 Who we are and who we sell to
We sell to businesses and healthcare professionals — hospitals, surgery centers, clinics, practices, DME providers, laboratories and similar. Our site and products are not intended for consumer or personal use, and some equipment can only be sold to licensed facilities or credentialed buyers. You confirm you're buying for a legitimate professional purpose and that you hold any license or credential the equipment requires.
03 Using this website
You may use this site to learn about our products, contact us and request quotes. You agree not to misuse it — no attempting to break or overload it, scrape it at scale, submit false information, upload anything harmful, or use it to break the law. Information on the site is provided for general guidance; specifications, availability and pricing can change, and nothing on the site is a binding offer until we confirm it in a written quote or order acknowledgement.
04 Quotes, orders and pricing
- Quotes are estimates valid for the period stated on them (30 days if none is stated), and depend on stock and current supplier pricing. A quote is not a reserved unit.
- An order forms when we accept it in writing — an order confirmation, signed agreement or invoice — not when you submit a form or receive a quote.
- Prices are in U.S. dollars and exclude taxes, freight, rigging, installation and training unless the quote says otherwise. We may correct obvious pricing errors even after an order, with the option to cancel if you don't accept the correction.
- Availability. Equipment, especially refurbished units, is often one-of-a-kind. If something sells or becomes unavailable before your order is confirmed, we'll offer an alternative or a refund of anything paid.
05 Payment and taxes
Payment terms are stated on your quote or invoice. Unless we've agreed credit terms in writing, payment is due before delivery or installation. Approved-credit invoices are due within the stated period, and overdue amounts may accrue interest at the lower of 1.5% per month or the maximum the law allows. You're responsible for applicable sales, use and other taxes unless you give us a valid exemption certificate. Title to purchased equipment passes to you on full payment; risk of loss passes on delivery.
06 Delivery and installation
We deliver across Texas and arrange freight elsewhere. Delivery dates are estimates made in good faith, not guarantees, and we're not liable for delays outside our reasonable control. Where installation is in your quote, our crew handles freight, uncrating, setup and basic training; you're responsible for a suitable, accessible site — adequate space, power, network, environmental conditions and any facility permits. Please inspect equipment on arrival and note any visible damage on the delivery paperwork.
07 New, refurbished and rental equipment
We supply equipment in three conditions, and what you're getting is stated on your quote:
08 Warranties
We stand behind what we sell. New equipment carries the manufacturer's warranty. Refurbished equipment carries our limited warranty for the period stated on your quote or invoice, covering defects in materials and workmanship under normal use. If a covered unit fails in the warranty period, we'll repair it, replace it or refund it, at our option, and can provide a loaner while yours is serviced.
The warranty does not cover damage from misuse, accident, neglect, unauthorized repair or modification, use outside the manufacturer's specifications, consumables and normal wear parts, or issues caused by an unsuitable installation site. To claim, contact us with your invoice and the unit details before returning anything.
Disclaimer. Except for the express warranties stated here or in a signed agreement, and to the fullest extent permitted by law, equipment and services are provided "as is," and OneMedy disclaims all other warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. No statement on this website or by our staff creates a warranty beyond what is written here.
09 Returns and cancellations
Because much of our stock is capital equipment, configured or one-of-a-kind, returns aren't automatic. If you need to cancel or return, contact us as soon as possible:
- Before shipment — most orders can be cancelled, though special-order and configured items may carry costs already incurred.
- After delivery — returns are by prior authorization only and may be subject to a restocking fee and return freight. Installed capital equipment, custom and special-order items, consumables and rentals are generally non-returnable.
- Wrong or defective on arrival — tell us promptly and we'll make it right at no cost to you.
We'll always tell you the terms that apply to your specific order before you commit.
10 Regulatory compliance and proper use
Medical equipment must be used by qualified people, for its intended purpose, and in line with the manufacturer's instructions and applicable law. You're responsible for confirming a product suits your clinical needs, for credentialing and training your staff, and for meeting the licensing, safety and reporting rules that apply to your facility. OneMedy is a supplier, not a clinical advisor; nothing we provide is medical advice or a substitute for professional judgment. Equipment is sold for use within the United States unless we've agreed otherwise in writing, and you agree not to export or re-export it in violation of applicable trade laws.
11 Limitation of liability
To the fullest extent permitted by law, OneMedy and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, or business interruption, arising out of or relating to the site, the equipment or our services, even if advised of the possibility. Our total liability for any claim relating to a product or service is limited to the amount you paid us for that specific product or service. Nothing in these terms limits liability that cannot be limited under law, including for death or personal injury caused by our negligence, or for fraud.
12 Indemnification
You agree to indemnify and hold OneMedy harmless from claims, losses and reasonable legal costs arising out of your misuse of equipment, your failure to meet the responsibilities in sections 6 and 10, your breach of these terms, or your violation of law or the rights of a third party. We'll tell you promptly of any such claim and let you participate in the defense.
13 Intellectual property
The OneMedy name, logo, site design, text and graphics are owned by OneMedy or its licensors and are protected by law. You may view and print pages for your own business use in dealing with us, but you may not copy, republish or use our branding or content for other purposes without written permission. Manufacturer names and marks that appear on the site belong to their respective owners and are used to identify products.
14 Governing law and disputes
These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. You and OneMedy agree that the state and federal courts located in Harris County, Texas have exclusive jurisdiction over any dispute, and you consent to venue there — unless a signed agreement between us says otherwise. Before starting formal proceedings, we both agree to try in good faith to resolve the matter by contacting each other first. If any provision of these terms is found unenforceable, the rest stay in effect.
15 Changes and how to contact us
